ArtfulYo - Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of ArtfulYo and its companion feature Open Mic by ArtfulYo (collectively, "the Platform"), operated by Shomaa Creatives LLP ("Company," "we," "us," or "our"), a limited liability partnership registered in India with its principal place of business in Hyderabad, Telangana, India. These Terms supplement the Shomaa Master Terms and Conditions available at shomaa.org/legal.
By creating an account or using the Platform, you confirm that you are 18 years of age or older, that you have read and understood these Terms and our Privacy Policy at shomaa.org/artfulyo/privacy, and that you agree to be bound by them. If you do not agree, you must not use the Platform.
1. Eligibility
The Platform is exclusively for users aged 18 and above. We reserve the right to terminate any account we reasonably believe belongs to a user under 18, without prior notice or refund obligation. If you access the Platform on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Account Types and Subscription Tiers
2.1 Free Accounts
- ArtLover: Discovers, follows, and attends ArtfulEvents listed on the Platform.
- Artist: Builds a public profile, submits ArtfulEvents, publishes ArtfulProjects and ArtLogs, and engages with the Platform community. Artists who sign up to perform at a show gain access to in-event chat for that show.
2.2 Paid Pro Accounts
- Artist Pro: Enhanced tools for individual artists including priority ArtfulEvent listing, advanced profile analytics, in-event chat for all shows they perform at, and 1:1 direct messaging with other Pro users.
- ArtRunner: An operational pro tier for individuals assisting with event verification, community support, and field-level Platform activities. Includes in-event chat and 1:1 direct messaging.
- StarRunner: A pro tier for clubs, festivals, venues, and multi-event organizers. Includes all ArtRunner features plus multi-event management tools and expanded promotional capabilities, along with in-event chat and 1:1 direct messaging.
Subscription fees, billing cycles, and applicable taxes will be clearly disclosed at the point of purchase. By subscribing, you authorize recurring charges to your chosen payment method until you cancel. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. Refund eligibility is governed by the applicable app store policy (Apple App Store or Google Play Store) or our published refund policy.
3. Messaging Features
3.1 In-Event Chat
In-event chat is available to all Artists who have signed up to perform at a given show, for the duration of that show. Access is granted automatically upon registration as a performer and revoked when the event concludes. In-event chat is intended solely for show-related coordination and community engagement.
3.2 1:1 Direct Messaging
1:1 direct messaging is available exclusively to active paid Pro account holders (Artist Pro, ArtRunner, and StarRunner). This feature is provided to facilitate professional networking and coordination within the Platform community.
3.3 Acceptable Use of All Messaging
When using any messaging feature on the Platform, you agree not to:
- Send spam, unsolicited promotional content, chain messages, or bulk messages;
- Harass, threaten, intimidate, stalk, or abuse any other user;
- Send sexually explicit, obscene, or otherwise offensive content;
- Share another user's personal information without their explicit consent;
- Solicit money, financial information, or login credentials from other users;
- Distribute malware, phishing links, or malicious content;
- Impersonate any person, artist, or organization;
- Use automated tools, bots, or scripts to send messages;
- Engage in hate speech, discrimination, or content promoting violence.
3.4 Enforcement
We review abuse reports and take enforcement action based on severity and context. Actions range from a formal warning to permanent account termination without refund, and referral to law enforcement where conduct may constitute a criminal offense. We reserve the right to access and retain message content to investigate abuse, comply with legal obligations, or enforce these Terms.
3.5 No Expectation of Privacy in Reported Content
We do not routinely monitor messages. However, reported messages may be reviewed by our trust and safety team. Do not use Platform messaging for communications you would not be comfortable having reviewed in a safety investigation.
4. License to Use the Platform
Shomaa Creatives LLP grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purposes. This license does not include the right to scrape or extract data from the Platform; reproduce or resell Platform content; reverse-engineer any part of the Platform; or use the Platform to build a competing service.
5. User-Generated Content
5.1 Ownership
You retain ownership of all content you submit to the Platform, including ArtfulEvents, ArtfulProjects, ArtLogs, images, check-ins, and descriptions (collectively, "User Content").
5.2 License to Us
By submitting User Content, you grant Shomaa Creatives LLP a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, display, reproduce, modify (for formatting only), distribute, and promote your User Content to operate and market the Platform. This license ends when you delete your content or account, except where your content has been shared by others or incorporated into aggregated data.
5.3 Your Responsibilities
You represent that you own or have rights to submit your User Content; it does not infringe third-party rights; event submissions (ArtfulEvents) are accurate including date, time, and venue; and it does not contain harmful, offensive, defamatory, or illegal material.
5.4 ArtfulEvents Submissions and Merging
When multiple users submit information about the same event, we may merge those submissions into a single canonical ArtfulEvent listing at our discretion, crediting original submitters where feasible. By submitting an ArtfulEvent, you consent to this process. We do not guarantee the accuracy of any ArtfulEvent listing and are not responsible for cancellations, venue changes, or loss arising from reliance on event information.
6. Prohibited Conduct
In addition to messaging rules above, you agree not to: use the Platform for unlawful purposes; submit false or spam ArtfulEvent listings; attempt unauthorized access to the Platform or other accounts; impersonate any person or entity; upload malicious code; disrupt Platform operations; or organize activities illegal in the relevant jurisdiction.
7. Referral Program
The Platform may offer a referral program. Referral rewards, if any, will be described at the time of invitation. We reserve the right to modify or discontinue the program, disqualify fraudulent referrals, and withhold rewards where abuse is detected.
8. ArtRunner and StarRunner
ArtRunners and StarRunners are paid Pro users, not employees or agents of Shomaa Creatives LLP. No employment, agency, or partnership relationship is created by these account tiers. You agree to use elevated Platform access in good faith and in accordance with our published guidelines.
9. Third-Party Content and Links
The Platform may contain links to third-party websites and event organizers. We do not endorse or assume responsibility for third-party content. Your interactions with third parties are solely between you and that third party.
10. Intellectual Property
All intellectual property rights in the Platform are owned by or licensed to Shomaa Creatives LLP. "ArtfulYo," "Open Mic by ArtfulYo," "ArtfulEvents," "ArtfulProjects," "ArtLover," "ArtRunner," "StarRunner," and "Shomaa" are trademarks of Shomaa Creatives LLP. Unauthorized use is strictly prohibited.
11. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SHOMAA CREATIVES LLP IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR DAMAGES FROM RELIANCE ON ARTFULEVENTS LISTINGS, USER CONTENT, OR MESSAGES SENT BY OTHER USERS. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF INR 5,000 OR FEES YOU PAID US IN THE PRECEDING 12 MONTHS.
12. Indemnification
You agree to indemnify and hold harmless Shomaa Creatives LLP and its partners, officers, employees, and agents from claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Platform, your User Content, your use of messaging features, or your violation of these Terms or third-party rights.
13. Termination
We may suspend or terminate your account at any time for violations of these Terms or any other reason at our discretion. Termination does not automatically entitle you to a refund. Sections 5.2, 10, 11, 12, 14, and 15 survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes shall be subject to 30 days of good-faith negotiation, followed by binding arbitration in Hyderabad, Telangana under the Arbitration and Conciliation Act, 1996, conducted in English. Either party may seek urgent interim relief from a competent court.
15. International Users
By using the Platform from outside India, you acknowledge that your data may be processed in India; that you are responsible for compliance with local law; and that mandatory local rights are not waived by these Terms.
15.1 California (CCPA)
California residents may request to know, delete, and opt out of sale of personal information (we do not sell data). No discrimination for exercising rights. Contact privacy@shomaa.org.
15.2 EU and UK (GDPR / UK GDPR)
EU and UK users have rights to access, correct, delete, port, restrict, and object, and to lodge complaints with their local supervisory authority. Contact privacy@shomaa.org.
15.3 Australia
Australian users may access and correct personal information and lodge complaints with the OAIC at oaic.gov.au. Contact privacy@shomaa.org.
16. Changes to These Terms
We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
